Microsoft is now facing concerns from shareholders, who claim the company did not fully disclose the financial impact of its AI investments before a sharp decline in its stock price earlier this year.

Microsoft is facing a shareholder lawsuit that claims the company failed to properly inform investors about slowing growth in its Azure cloud business and the billions of dollars it would need to spend on AI infrastructure.

The proposed class action lawsuit was filed in a Seattle federal court by the City of St. Clair Shores Police and Fire Retirement System in Michigan. Shareholders allege that Microsoft hid important details about rising AI-related expenses and the impact those investments could have on its cloud business.

The lawsuit follows Microsoft's quarterly earnings report released on January 28. A day later, the company's shares dropped 10%, wiping out about $357 billion in market value. It was Microsoft's biggest one-day stock decline in nearly six years.

For the quarter ending in December, Microsoft reported 39% growth in Azure and other cloud services revenue. While that matched analyst expectations, it was slightly lower than the 40% growth reported in the previous quarter. The company also forecast Azure growth of 37% to 38% for the following quarter.

Microsoft's capital spending reached $37.5 billion during the quarter, up nearly 66% from a year earlier and higher than analysts had expected.

According to the lawsuit, Microsoft later linked the slower Azure growth and higher spending to capacity constraints caused by increased investment in AI research, development, and its Copilot chatbot. Copilot competes with products such as Google's Gemini and OpenAI's ChatGPT. Microsoft is also a major investor in OpenAI.
 
Microsoft has rejected the allegations. The company said it believes the claims are "without merit" and added, "Microsoft stands by the integrity of its public statements and will vigorously defend itself in court.”

The lawsuit also names several Microsoft executives as defendants, including CEO Satya Nadella and CFO Amy Hood. The proposed class period covers May 1, 2025, to January 28, 2026. As the case moves forward, the outcome could become an important test of how companies disclose the financial impact of large-scale AI investments to shareholders.
