AI Chip Makers SAPEON And Rebellions Merge To Take On NVIDIA

Building towards this goal is South Korea’s SK Telecom-led SAPEON Korea and Rebellions, a South Korean AI chips startup, have announced a new deal that’s set to boost their position in the AI semiconductor market and challenge market leader NVIDIA.

What Is The SK Telecom And Rebellions Deal About?

Through a news release published on its website, SK Telecom announced that its artificial intelligence semiconductor company, SAPEON Korea, has signed a definitive merger agreement with Rebellions Inc., a South Korean AI Chip startup.

The move stems from an announcement made by both companies on June 12 that outlined plans to merge, intending to boost global AI infrastructure competitiveness.

Since that announcement, both companies have been mutually conducting due diligence and negotiating the terms of the merger.

As per the agreement, the merger will see an equity value ratio of 1:2.4 between the two companies, which “reflects their corporate values and assets.”

SAPEON will be the surviving entity, with Rebellions being merged into the SK Telecom (SKT) entity.

However, the new entity will retain the name Rebellions, where current Rebellions CEO Park Sung-hyun will head the new company.

It will also include the current leaders of Rebellions managing the new entity.

The move also witnessed SAPEON’s current shareholders (SK Telecom, SK Square and SK Hynix) selling 3% of their shares in SAPEON to convert the new management into majority shareholders in the new company.

SK Telecom will assume the role of a strategic investor in the company, as it looks to expand into the global AI semiconductor market.

SAPEON was formed as a spin-off from SK Telecom’s internal R&D arm, in 2016. Since then, the company has been a leading force in the AI chip market and even introduced South Korea’s first AI semiconductor for data centers in 2020.

As an AI chip startup, Rebellions raised over $225 million in funding since its founding in 2020 and successfully launched two AI chips “ATOM”, “ION” and “REBEL”.

As per the announcement, with the “combined development capabilities and expertise in the neural processing unit(NPU) market, the newly merged entity will be well-positioned to compete in the global AI semiconductor industry.”
What Did SK Telecom And Rebellions Executives Say?

Ryu Young-sang, CEO of SKT, said, “Signing this agreement will greatly enhance our global position in AI semiconductors, one of the key parts of the AI value chain we’re developing.”

Park Sung-hyun, Co-founder and CEO of Rebellions, said, “South Korea has long been a powerhouse in memory semiconductors. Today, we’re taking a crucial step to extend that leadership into the realms of logic chips and AI through this landmark consolidation.”

[Contd.] “Our goal now is to emerge as a leading force in the worldwide AI chip market, navigating the intense industry competition.”
This move adds to a recent tie-up between South Korean companies SK Hynix and Samsung to produce low-power AI chips.
