SAP To Acquire WalkMe In A $1.5 Billion Deal To Boost Business Transformation

Keeping to this thought, SAP SE, a global leader in enterprise applications and business AI, is looking to bolster its offerings through its latest agreement with WalkMe Ltd. a multinational software-as-a-service company.

What Did SAP And WalkMe Announce?

Through news releases published on their websites, SAP and WalkMe announced they have entered into a definitive agreement under which SAP will acquire WalkMe.

The move comes as SAP looks to boost its business transformation portfolio, which consists of platforms such as SAP Signavio and SAP LeanIX that help its customers enhance their transformation journeys.

The addition of WalkMe, which is a leader in digital adoption platforms (DAP), to SAP brings in the company’s solutions that enable organizations to adopt evolving technologies with the help of advanced guidance and automation features. This helps them seamlessly execute workflows across numerous applications.

WalkMe’s DAP (digital adoption platforms) functions above an organization’s existing application landscape to detect where users are facing trouble and provide them with appropriate and customized support and automation to complete their tasks.

This feature works across any application and right in the flow of work.

WalkMe is due to launch WalkMeX copilot, which will blend the platform’s capabilities with artificial intelligence (AI) to serve as an overlay to any application, including other copilots from other vendors with solutions that are “always on”.

Post the deal, WalkMe will continue to fully support non-SAP applications.

Integrating the capabilities of WalkMe with SAP’s own offerings, including its copilot Joule, will allow users to benefit from an enhanced AI assistant and improved productivity.

As per the release, “Integrating distinctive e-learning features in the SAP Enable Now solution with WalkMe will form the center of SAP’s people-centric transformation approach going forward.”
What Are The Financial Details Of The Agreement?

The deal has been approved by the Executive and Supervisory Boards of SAP and WalkMe, with the transaction priced at approximately $1.5 billion, according to a $14 per share valuation, which represents a 45% premium on WalkMe’s closing share price as of June 4, 2024.

The deal is set to be completed in an all-cash transaction.

However, the acquisition is subject to approval by WalkMe’s shareholders, customary closing conditions and necessary regulatory approvals, with a plan to close in Q3 2024.
