IBM Set To Acquire HashiCorp For $6.4 Billion To Create An End-to-End Hybrid Cloud Platform

What Did IBM Announce?

 
  • According to a news release published on its website, IBM announced it has entered into a definitive agreement with HashiCorp Inc., a leading multi-cloud infrastructure automation company, under which IBM will acquire HashiCorp.

  • As per the agreement, HashiCorp will be acquired with available cash on hand for $35 per share (a 42.6% premium to its closing price on April 22), representing a total value of $6.4 billion.

  • The deal has been cleared by the board of directors of both companies and is subject to approval by HashiCorp shareholders, regulatory approvals as well as customary closing conditions.

  • The deal is expected to be completed by the end of 2024.

  • “Today's announcement is a continuation of IBM's deep focus and investment in hybrid cloud and AI, the two most transformational technologies for clients today,” reads the release.

 

How Will The Acquisition Help IBM?

 
  • HashiCorp provides a suite of products that offer extensive infrastructure lifecycle management and security lifecycle management capabilities, allowing organizations to automate their hybrid and multi-cloud environments.

  • This remains important as enterprises increase their cloud-native workloads and AI deployments continue to grow.

  • HashiCorp comes in with over 4,400 clients, including Bloomberg, Comcast, Deutsche Bank, GitHub, J.P Morgan Chase, Starbucks and Vodafone and its products are used by 85% of the Fortune 500.

  • The acquisition enables the creation of a comprehensive end-to-end hybrid cloud platform built for AI-driven complexity.

  • This includes the ability to accelerate growth in key focus areas and drive synergies across services like Red Hat, watsonx, data security, IT automation and Consulting.

  • It also expands the total addressable market (TAM) and increases the opportunity to deliver more comprehensive offerings to enterprise clients.

  • As per the release, “HashiCorp's offerings help clients take a cloud-agnostic, and highly interoperable approach to multi-cloud management, and complement IBM's commitment to industry collaboration (including deep and expanding partnerships with hyperscale cloud service providers), developer communities, and open-source hybrid cloud and AI innovation.”
